These Terms of Service ("Terms") govern your access to and use of the website and merchant funding application platform of Funded Financial Network LLC ("we," "us," or "our"). By accessing our website, submitting an application, or otherwise using our services, you agree to be bound by these Terms. If you do not agree, please do not use our platform.

1. Service Description

Funded Financial Network LLC operates an online platform that allows business owners ("merchants") to submit a single application for business funding, which we may then present to one or more third-party funding sources ("funders") within our network. Funded Financial Network LLC is not a lender. We do not extend credit, originate loans, or make funding decisions ourselves. We act solely as a marketplace connecting merchants with independent funders who evaluate applications and make their own lending or advance decisions.

2. Eligibility & Account Creation

To use our platform, you represent and warrant that:

• You are at least 18 years of age and legally able to enter into binding contracts.
• You are an owner, officer, or authorized representative of the business on whose behalf you are applying.
• All information you provide is accurate, current, and complete.
• You will not use our platform for any fraudulent, unlawful, or unauthorized purpose.

We may, at our discretion, refuse service, suspend, or terminate access to any user who violates these Terms or whom we reasonably suspect of fraudulent or unlawful activity.

3. Application Submission & Accuracy Requirements

When you submit an application through our platform, you certify under penalty of perjury that all information provided — including business details, financial figures, and personal identifying information — is true, accurate, and complete to the best of your knowledge. Submitting false, misleading, or incomplete information may result in:

• Rejection or withdrawal of your application.
• Denial of funding by funders in our network.
• Termination of your access to our platform.
• Potential civil or criminal liability under applicable law.

By submitting your application, you also consent to our verification of the information provided, including credit checks and identity verification, and to our use of electronic signatures for any resulting documents, as further described in our application process.

4. No Guarantee of Funding

All funding decisions are made independently by third-party funders based on their own underwriting criteria. Funded Financial Network LLC has no control over, and assumes no responsibility for, the decisions made by funders, including approval, denial, offer amount, rates, fees, or repayment terms.

5. Limitation of Liability

To the fullest extent permitted by law, Funded Financial Network LLC, its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our platform, your application, or any funding arrangement entered into with a third-party funder. This includes, without limitation, damages related to denied applications, funding terms you find unfavorable, delays in funding, or actions taken by any funder. Funded Financial Network LLC is a marketplace and referral service — we are not a party to any funding agreement between you and a funder, and any disputes regarding the terms or performance of a funding agreement are solely between you and the relevant funder.

6. Dispute Resolution

If you have a dispute with Funded Financial Network LLC regarding these Terms or our platform, we encourage you to first contact us directly at info@fundedfn.com so we can attempt to resolve the issue informally. If a dispute cannot be resolved informally, both parties agree that any claim shall be resolved through good-faith negotiation, and, if necessary, through binding arbitration or in a court of competent jurisdiction, as permitted by applicable law. Disputes regarding the terms of an actual funding agreement must be directed to the relevant funder, as Funded Financial Network LLC is not a party to that agreement.

7. Termination of Service

We may suspend or terminate your access to our platform at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, funders, or Funded Financial Network LLC, or for any other reason at our sole discretion. You may also stop using our platform at any time. Termination does not affect any rights or obligations that arose prior to termination, including any funding agreement already in effect between you and a funder.
